## No two firms are alike

On paper, investment advisers sort neatly into categories: wealth managers, financial planner only, pension consultants, private equity and hedge fund advisers, and hybrid firms that have any combination of private fund, wealth, and broker-dealer business.

In practice, the categories stop there. No two firms share the business model with the same vision, the same operations, and the same staffing model. Variances go deeper into compensation structures, custodial selections, service levels, use of third-party managers, valuation process, and the list goes on. A compliance program that ignores the nuances that make an investment adviser unique leaves gaps exactly where a firm may be most vulnerable.

## Why off-the-shelf programs fall short

Template policies are written for an average firm that does not exist. They often describe processes a firm doesn’t follow, and miss the risks it actually carries.

Consider an adviser that has retail clients and manages a private fund. This firm cannot just merge a set of compliance policies for retail clients with those of a private fund adviser. There are real overlaps that need to be customized and must be specific to the firm and how it handles areas such as allocation of investment opportunities, valuation, fee structures, and personal transaction monitoring. Each of these areas, and others, must be individually understood in order to design and implement policies that will address the risks unique to this firm’s business and operations. A patchwork of templated policies will fail to address overlap, create uncertainty regarding which policy governs, and will likely result in disorganized and inadequate recordkeeping.

## Reason 1: Your program should reflect your business

A customized program starts with how your firm really works: who your clients are, how your advisory fees are calculated, the types of securities in which you trade, the systems you use and the distribution of your team’s responsibilities. The SEC expects every adviser to identify the conflicts and other compliance factors that create risk exposure for the firm and its clients in light of the firm’s particular operations, and then design and adopt policies and procedures that address those risks.

The result of this ongoing risk identification exercise should be a program your team can actually follow. Procedures that match daily workflows, testing that targets your real risks, and no adopted policies that don’t apply to your business or operations.

## Reason 2: The SEC expects a program built for you

Under the Compliance Rule (Rule 206(4)-7), advisers must adopt written policies and procedures reasonably designed to prevent violations of the Advisers Act, and review them at least annually.

At the onset of a regulatory examination, examiners want to see that your program fits your business. They compare your policies to what your firm actually does. Language copied from a template, or adopted procedures that don’t apply to your business are low-hanging fruit and a red flag for examiners. This invites deeper questions and is likely to result in deficiencies.

## Customized shouldn’t mean costly

Many firms assume a tailored program means a large consulting bill. It shouldn’t. Customization is our specialty at ComplianceAdvisor. Our first step is always doing a deep dive to get to know your firm and what makes it unique – from a service perspective, operational perspective, and compliance perspective. We can truly say no two firms are alike, and we recognize that while there are commonalities among many advisers, the businesses they’ve are not. Mission statements and visions differ, the way they service the same type of client differ, their operations and attitudes differ – and, yes, their compliance needs to be different, too. This is why ComplianceAdvisor builds programs around each firm’s business, clients and operations, so you get a program that fits your model, not someone else’s.

The compliance program we design for you reflects how you work, focused on your firm’s actual risks, with training so that you understand the “why” behind the program you’ve adopted, readily preparing you for the day the SEC calls.

## Frequently asked questions

**What is a customized compliance program?**

It is a set of compliance policies and procedures, often with accompanying training, testing and evaluation designed around a specific firm’s clients, business model, investments and operations, rather than adapted from a generic template.

**Does the SEC require a customized compliance program?**

Yes, the SEC expects a compliance program tailored to your firm’s operations and risks, which examiners check against what you actually do.

**Can firms of the same type use the same compliance program?**

They can share a starting point, but not a program that can be adopted by either firm. Each investment adviser’s program will have unique aspects to it that consider systems, staffing, operations, and jurisdictional requirements – even for SEC registered firms.

**What do hybrid wealth and private fund advisers need?**

They need policies that address overlapping risks when servicing multiple types of clients (such as individual clients alongside private funds). Allocation of investment opportunities, valuation, and fee structures are just some examples of compliance areas firms that service multiple types of clients need to take extra care to get right.

**Is a customized program more expensive?**

It doesn’t have to be. Starting from proven frameworks and tailoring compliance policies and procedures to your firm keeps cost reasonable while closing the gaps inherent in templated policies.

## The bottom line

Your firm does not fit into a box, and your compliance program shouldn’t either. Adopting a compliance program built around your business will not only make it to easier to follow, you’ll be far better prepared for an exam and, done right, the cost will be comparable to that of a template, with a far better result.
